Terms of Service

1. Contracting Entity

This agreement is between you and Cheqbase ("Cheqbase", "we", "us", "our"). By creating an account, accessing, or using the Service, you agree to these Terms.

2. Business Use Only

The Service is intended for business and organizational use. You represent that you have authority to bind your organization to these Terms.

3. Eligibility and Accounts

• You must provide accurate and current account information.
• You are responsible for account credentials and all activity under your account.
• You must promptly notify us of unauthorized access or security incidents.

4. Acceptable Use

You may not misuse the Service. Prohibited actions include:

• Violating any law, regulation, or third-party right.
• Attempting unauthorized access, reverse engineering, or service disruption.
• Uploading malware or harmful code.
• Using the Service to process unlawful, infringing, or fraudulent transactions.

5. Customer Data and Permissions

You retain ownership of data you submit to the Service, including operational and account-related records. You grant us a limited license to host, process, transmit, and display such data only as necessary to provide, secure, and improve the Service.

You are responsible for securing required rights and consents for the data you upload, sync, or process (including Odoo-linked records and uploaded documents).

6. Integrations and Third-Party Services

The Service may integrate with Odoo, Supabase infrastructure, and other third-party services. We are not responsible for third-party platform outages, policy changes, data handling, or API behavior outside our control.

7. Fees, Subscription, Renewal, and Refunds

• Paid plans, limits, and billing cycles are described on our pricing pages or sales order.
• Charges are due as invoiced.
• Refund requests can be submitted within 14 days of the relevant charge date.
• Refund handling follows Paddle's applicable buyer/consumer terms, including the Paddle Invoiced Consumer Terms.
• Failure to pay may result in suspension, access restrictions, or termination.

8. Intellectual Property

We retain all rights, title, and interest in the Service, software, trademarks, and related materials. Except as expressly granted, no rights are transferred to you.

9. Confidentiality

Each party will protect the other party's confidential information using reasonable safeguards and will use such information only to perform obligations under these Terms.

10. Warranty Disclaimer

The Service is provided "as is" and "as available" to the maximum extent permitted by law. We disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the maximum extent permitted by law, Cheqbase and its affiliates will not be liable for indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, revenue, goodwill, or data.

Our aggregate liability for all claims in any 12-month period is limited to the total amount paid by you to Cheqbase for the Service during that period.

12. Indemnification

You will defend, indemnify, and hold harmless Cheqbase from claims, damages, liabilities, and expenses arising from your misuse of the Service, your data, or your violation of these Terms or applicable law.

13. Termination

You may stop using the Service at any time. We may suspend or terminate access for violation of these Terms, non-payment, security risk, or legal requirement. Sections that by nature should survive termination will remain in effect.

14. Governing Law and Disputes

These Terms are governed by the laws of Jordan, excluding conflict of law rules. Exclusive venue and jurisdiction will be the competent courts of Amman, Jordan, unless a separate signed enterprise agreement states otherwise.

15. Changes to Terms

We may update these Terms from time to time. Material changes become effective upon posting or as otherwise communicated. Continued use after the effective date constitutes acceptance of the revised Terms.
